-
GC: You will have before you the body and enquiring mind of [378], at his office, … St., N.Y. City, in regard to the outstanding business problem which confronts him at this time. You will give any advice, information or counsel that will be of help, answering the questions he has submitted, as I ask them.
-
EC: Yes, we have the body, the enquiring mind, [378]; this we have had before. Also we have those conditions that confront the body, and the proposition that must be met by the body-mind at this time.
-
Ready for questions.
-
(Q) Shall I sign the voting trust agreement as prepared for common stock holders? (A) As we find, considering the conditions and the general welfare of all concerned, if the provisions are carried out as made with the agreement to signing such, it would be well; and for the best interest of all concerned.
-
(Q) Am I justified in demanding $12,000 a year compensation if I sign the voting trust agreement? (A) As given, this should be a part of the agreement. And justified; not only justified, but there should be the insistence that such IS the case; and this should be put in such a way and manner as to be the relying one upon the other.
-
(Q) Am I likely to get it if I hold out for this amount? (A) As given, this should be a part of the agreement, and should be held out for that; the body should hold for that.
-
(Q) Will Mr. Gernon of Hayden, Stone & Co. carry out his threat to ask for proxies of the preferred stock holder, if I don’t accept for a compensation which they will offer? (A) If these are carried out in the first premise, then there will be little need for the other being carried out; yet, as we find, these may be made collaborating one with the other. And should be that which should CONTROL (as it has) the whole situation.
-
(Q) Is there anyone that I could consult to advise me how best to handle present situation? (A) The associations with the banking interests, or the bank that is a part of the organization’s activities; these should be WELL to be consulted by the body under the existent situation.
-
(Q) What bank or financial institution would be willing to help me to control the company? (A) The Corn Exchange.
-
(Q) Would it be to my advantage to confer with them? (A) Be will that the situation that exists be presented to those interests (that is, the banking interests); for these are in the position to recognize the activities of the body and the necessity of the situation to advise in the better way and manner; which, while, as we find, in the first would be rather a stand-off-ishness - or hold-off-ishness, yet - as we find - they will be the ones, to advise that the situation be handled in the way and manner that has been presented to the body, regarding the trust agreement on the common stock.
-
(Q) Give any advice that would benefit me at this time. (A) Not necessary that the body become overanxious because of the peculiar situations in some directions that exist at present, but handle the situation with those that may be interviewed in the financial circles that will make for the better agreement and arrangement for self and self’s activities.
-
We are through for the present.
